Terms of use
Version 0.4 · 27 October 2026 · Plain English, deliberately short.
The deal in one paragraph
Farmstall is a tool for selling eggs. Your first two months are free; after that you pay a small fee per egg sold through it, less per egg as you sell more and with no minimum, plus 15c for each pay-by-bank payment, once a month. The money from your sales goes straight to you: bank payments to your bank, card payments from Stripe to your bank. We never hold it in our own accounts. You are responsible for your eggs, your prices and your customers; we are responsible for the software working. New Zealand law applies.
Who
"We", "us" and "Farmstall" mean Baywide Group Limited, GST 124-273-188, of Te Puke, New Zealand. "You" means the seller who opened the account and anyone you add to your team. Buyers who order from your page are your customers, not ours; these terms are between you and us.
You must be 18 or over and selling eggs in New Zealand. Your account is for your own farm or business.
What it costs
- There is no sign-up fee. Your first two months from the day you start are free, whatever you sell, pay-by-bank payments included.
- After that we charge a per-egg fee on every egg in an order that goes through Farmstall, at the rates shown on the pricing page when the order is placed. Cash sales you tap in yourself count too, because the stock and the books are being kept for them.
- The per-egg fee comes in three blocks (today 2c an egg for the first 50 eggs a day, 1.5c for eggs 51 to 200 a day, and 1c above 200). We count the blocks over the calendar month: 50 and 200 eggs a day times the days in that month. There is no monthly minimum. If you pause your account for a month because you have no eggs to sell, nothing is charged for that month.
- Pay-by-bank: 15c + GST a payment. Each pay-by-bank payment a buyer makes to you through Farmstall costs you 15c plus GST, added to your monthly bill on top of the egg fee. That is what Akahu, our bank-payment provider, charges us; we pass it on at cost. Your buyer pays nothing to pay from their bank. Bank transfers we only match from your bank feed are not charged.
- If you are a Baywide Chickens customer, you get 25% off every block of the per-egg fee (today 1.5c, 1.125c and 0.75c an egg) for as long as you keep buying your pullets from Baywide Chickens. If you stop, your rate goes to the standard rate from the next billing month. We will tell you first.
- Fees are added up at the end of each calendar month and charged to the card you gave us, with a tax invoice by email. If the card fails we will try again and let you know; after 30 days unpaid we may pause the account until it is sorted.
- We can change the rates, the blocks or the pay-by-bank fee with 30 days' notice by email. Keep using the service after that and the new rate applies.
Prices are in New Zealand dollars and exclude GST; GST is added on the tax invoice.
Payments from your customers
We never hold your money in our own accounts. Bank payments go from your buyer to your bank. Card payments are collected by Stripe and paid by Stripe to your bank.
- Pay-by-bank goes through Akahu. The buyer approves the payment at their own bank and it lands in the account you connected. Each one costs you 15c plus GST on your monthly bill (see What it costs); the buyer pays nothing extra.
- Card payments: we arrange card payments for you through Stripe (Stripe Connect) and we set the price. When you set up cards, Stripe checks who you are and opens a connected account in your name; you agree to Stripe's Connected Account Agreement. Each card payment is made with you as the seller, so your buyer's card statement shows your farm's name, and Stripe pays the money straight to your bank on its payout schedule.
- Online, a buyer who chooses card pays the card fee on top of the price. We set that fee and keep it no higher than the cost of accepting the card. In person at a market the card fee is yours, taken off the sale, as surcharging there may be restricted by law. We pay Stripe's fees out of what buyers and sellers pay for card; any difference is ours. We show the current card prices on the pricing page and give you 30 days' notice of a change.
- Cash and bank transfers made outside the system are yours to record.
Refunds and disputes. Refund a bank payment from your own bank. Refund a card payment from Farmstall and it goes back to the buyer's card. If a buyer disputes a card payment (a chargeback), Stripe takes it from our balance first and we deal with it: we tell you, gather your side (order, delivery, texts) and respond. If the buyer wins, or you refund, we recover the amount, and any dispute fee Stripe charges, from you — from your next card payments or, if there aren't enough, by invoice. The system records it either way.
Your customers' information
You are the agency for your buyers' personal information under the Privacy Act 2020; we process it for you. Use it only to run your egg business, keep it accurate, and do not send your customers marketing they have not agreed to. Our privacy policy explains what we keep and for how long.
Connected accounts
Your bank, Google, Xero and phone are your own accounts, and your Stripe connected account is in your name (we manage it for card payments). You connect them, you can disconnect them any time, and you are responsible for keeping them in good standing. If a connection drops (for example an Akahu consent expires) the parts of Farmstall that rely on it stop until you reconnect; orders already placed are not lost.
Texts and emails
Texts go from your own phone number through the httpSMS app, and emails go from your address, because they are your messages to your customers. Only send what your customers expect: order confirmations, reminders, delivery notes. Every message template the system sends includes a way to stop. You must not use Farmstall to send bulk marketing or anything the Unsolicited Electronic Messages Act 2007 would call spam.
Acceptable use
- Sell your own eggs, honestly described. Follow the Food Act 2014 and MPI's rules for egg producers; that is your responsibility, not ours.
- Do not use the service for anything other than eggs and closely related farm produce without asking us first.
- Do not try to get into anyone else's account, scrape other sellers' pages or load the service with traffic it was not built for.
- Keep your login private. Anything done from your account is on you until you tell us it has been compromised.
- One account per business. Team members are added from inside the account, not by sharing a login.
If you break these rules we may suspend or close the account. We will say why.
What we promise, and what we don't
We will run the service with reasonable skill and care, keep it available as much as we can, and tell you about planned outages. It is software, so it will have bugs; tell us and we will fix the ones that matter.
We make no promises about lay rates, egg quality, how many customers you will get, or what you will earn. The stock estimates in the app are estimates. If a hen stops laying, that is between you and the hen.
To the extent the law allows, we are not liable for loss of profit, lost sales, lost data you have not exported, or anything indirect. Our total liability to you in any 12 months is the fees you paid us in those 12 months. Nothing here limits rights you have under the Consumer Guarantees Act 1993 if it applies to you; if you are in trade and using Farmstall for business, you agree that Act does not apply.
Your content and ours
Your farm name, logo, prices, customer list and orders are yours. You let us show them on your page and use them to run the service. You can download all of it at any time. We only use combined, anonymous numbers across farms (for example lay rates for forecasting), we never sell your data, and we never market to your customers. The Farmstall software, design and name are ours. The small "Farmstall" link at the foot of your page stays there.
Ending it
You can close your account any time from Settings. We stop billing at the end of that month, you can export your data for 60 days, and then we delete it except what tax law makes us keep.
We can close the service with 90 days' notice, or your account sooner if you break these terms. Either way you can export your data first.
The boring bits
These terms are governed by New Zealand law and the New Zealand courts. If one part is unenforceable the rest still stands. We may update these terms; we will email you 30 days before a change that matters. This page's date is the current version.
